| In preparation for the UIA Seminar in Tel-Aviv in March 29, 2012, the undersigned was asked - what is the subject matter of license agreements, in general. Tangible assets exist in the real/physical world and can be owned by legal entities. The owner of tangible assets may grant different rights with respect to his tangible assets, including without limitation leasing it, grant different rights of enjoyment of the asset and other rights. In this memo we will refer to some of the challenges of properly defining what is being licensed. |

| Employee Compensation and Employee Agreements in Privatization of Government Companies |

During January 1986 until October 2004, approximately 35 companies have been privatized and ceased to be government-controlled companies. In addition, during this time period, a considerable part of the government’s shares in Banks and Banking Holding companies were sold. In this memo we provide a summary describing the procedures of the Government Companies Authority in this matter and principles of the Government Companies Authorities’ arrangements with employees on the verge of privatization, including some examples. |
